Please read these Terms of Service ("Terms") carefully before using www.szmizeno.com (the "Site") or placing an order with Shenzhen Mizeno Technology Co., Ltd. ("Mizeno", "we", "us" or "our"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.
These Terms govern your use of the Site and any general B2B inquiry submitted through it. Separate written agreements, quotations, pro forma invoices, purchase orders and OEM/ODM contracts may apply to specific transactions and, where they conflict with these Terms, the terms of the specific written agreement prevail.
You may use the Site only for lawful, legitimate B2B inquiry, procurement research and communication. You agree not to:
All content on the Site, including text, images, product photographs, videos, logos, trademarks, technical drawings and software, is owned by Mizeno or its licensors and is protected by copyright, trademark and other intellectual-property laws. You may view and download content for your own internal evaluation but may not reproduce, modify, distribute, publicly display or create derivative works without our prior written consent.
For OEM/ODM projects, ownership of customer-provided designs remains with the customer, and ownership of Mizeno's general tooling, manufacturing know-how and pre-existing intellectual property remains with Mizeno unless otherwise agreed in a signed contract.
Product descriptions, images, dimensions, specifications and other information on the Site are provided for general reference and are subject to confirmation at the time of quotation. We reserve the right to update designs, materials and specifications without notice, provided the delivered product meets the agreed quality standards and specifications in the applicable contract.
Quotations are non-binding offers valid for the period stated in the quotation or, if no period is stated, for 30 days. Prices are quoted in the currency and on the Incoterms stated. An order is accepted only upon our written order confirmation. We reserve the right to decline any order for any lawful reason, including stock availability, credit approval or compliance concerns.
Products and technical information supplied by Mizeno are subject to the export control and sanctions laws of the People's Republic of China and, where applicable, the United Nations, the United States, the European Union and the United Kingdom. The Buyer shall not, and shall procure that its affiliates, carriers and agents shall not, directly or indirectly, re-export, transfer, transship or otherwise make available any product, technical data or service supplied by us to any restricted destination, restricted party or prohibited end-use, including military end-use, nuclear, chemical, biological or missile-related activities. The Buyer shall provide, on request, end-use and end-user statements and any additional documentation we reasonably require. We may suspend or cancel any order, and refuse any shipment, that we determine to be non-compliant.
Payment terms are stated on the pro forma invoice or contract. Unless otherwise agreed, standard terms for new B2B customers are T/T: 30% deposit before production and 70% before shipment. We may require different terms for large orders, customized products or customers without established credit. Late payments may incur interest at the rate permitted by applicable law.
Custom projects are governed by a signed OEM/ODM agreement or quotation specifying product specifications, tooling, samples, intellectual-property rights, minimum order quantities, lead times, quality standards and payment terms. Both parties agree to keep each other's confidential business and technical information confidential for the period set out in the applicable agreement.
Mizeno's express manufacturing warranty is described in the Refund, Return & Shipping Policy. To the maximum extent permitted by applicable law, we disclaim all other warranties, whether express, implied, statutory or otherwise, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. This disclaimer does not affect any mandatory consumer rights that cannot be excluded under the laws of your jurisdiction.
To the maximum extent permitted by applicable law, Mizeno shall not be liable for any indirect, incidental, special, consequential, punitive or exemplary damages, including lost profits, lost revenue, business interruption or loss of data, arising out of or related to the Site or any order. Our aggregate liability for any claim arising out of or related to an order is limited to the amount actually paid by you for that order, except where prohibited by law.
You agree to indemnify, defend and hold harmless Mizeno, its affiliates, officers, directors, employees and agents from and against any claims, damages, liabilities, costs and expenses arising out of your misuse of the Site, your breach of these Terms, or any claim that products manufactured by us according to your designs or specifications infringe third-party intellectual-property rights.
Your use of the Site is also governed by our Privacy Policy and our Cookie Notice. By using the Site, you consent to the collection and use of information as described therein, subject to any consent requirements under applicable law.
By submitting a contact form or placing an order, you consent to receive electronic communications from us, including quotations, order confirmations, shipping notices, invoices and marketing emails where permitted. You may opt out of marketing emails at any time by clicking the unsubscribe link or contacting us at info@szmizeno.com.
We are not liable for any failure or delay in performance due to causes beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, government actions, fires, floods, earthquakes, strikes, shortages of materials or components, epidemics, pandemics, shipping delays or failures of suppliers or carriers.
These Terms are governed by the laws of the People's Republic of China without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Site shall first be resolved through good-faith negotiation. If negotiation fails, the dispute shall be submitted to the competent courts in Shenzhen, Guangdong, China.
If you are a consumer in the European Union, the United Kingdom, the United States, Canada or another jurisdiction with mandatory consumer-protection laws, nothing in this Section removes or limits your right to bring proceedings in your country of residence or to rely on the mandatory protections of your local law. EU consumers may also use the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/odr.
We may revise these Terms from time to time. The updated version will be posted on this page with a new "Last updated" date. Your continued use of the Site after changes are posted constitutes your acceptance of the revised Terms.
If any provision of these Terms is held invalid or unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary or severed, and the remaining provisions will remain in full force and effect.
